              NON-EXCLUSIVE SOFTWARE LICENSE AGREEMENT

This agreement (the "Agreement") is between Indiana University's
Advanced Research & Technology Institute, a nonprofit corporation
organized under the laws of the State of Indiana, having offices at
1100 Waterway Boulevard, Suite 100, Indianapolis, Indiana 46202-2156
("IU-ARTI"), and an organization (the "Licensee") intending to install
and use the Interactive Animated Traffic Analysis (INANNA) software,
associated documentation, and other included components (the
"Software")(Exhibit A).

IU-ARTI claims rights to technology owned by IU-ARTI, on behalf of
Indiana University's University Information Technology Services
relating to the Software.  IU-ARTI represents to the Licensee that
IU-ARTI has rights in the Software, which will permit IU-ARTI to grant
licenses to the Software, granted by IU-ARTI hereunder.

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, THE LICENSEE
IS ACCEPTING AND AGREEING TO THE TERMS OF THIS AGREEMENT.  IF LICENSEE
DOES NOT AGREE TO THE TERMS OF THIS AGREEMENT, THE SOFTWARE SHOULD NOT
BE INSTALLED OR USED.  THIS AGREEMENT REPRESENTS THE ENTIRE AGREEMENT
BETWEEN LICENSEE AND IU-ARTI RELATED TO THE SOFTWARE AND IT SUPERSEDES
ANY PRIOR PROPOSAL, REPRESENTATION OR UNDERSTANDING BETWEEN THE
PARTIES RELATED TO THE SOFTWARE.

1.  Grant of License.

    Subject to the terms and conditions herein, IU-ARTI grants to
    Licensee a nonexclusive, royalty-free, non-transferable license to
    possess and to use (load, transmit, execute, store and display)
    the Software by any number of people on any number of computers,
    provided that such use is confined to purposes related to services
    management, education, and non-profit research internal to the
    organization of the Licensee.  The Software may only be used on
    computers owned and operated by the Licensee.  The Software may
    not be redistributed to other individuals or institutions outside
    of the Licensee organization, including external service bureaus
    or providers with whom the Licensee has service contracts or other
    similar relationships.  The Licensee shall not grant any
    sublicenses related to the Software to any person or entity and
    shall not use the Software in connection with the delivery of
    services as a service bureau for any third party. The Software and
    this license shall not be used for commercial purposes.

2.  Limited License to Copy.

    IU-ARTI hereby grants to Licensee a non-exclusive and
    non-transferable license to reproduce the Software in copies for
    backup or archive purposes.  All copies of the Software shall
    include all of the copyright and any other proprietary notices
    that are included in the copies of the Software as delivered to
    Licensee, along with the original authors' names and affiliation
    as referenced in Exhibit A.  The copies of the Software shall be
    and remain the property of the Licensor, and the possession and
    use thereof shall be subject to the terms of this Agreement.

3.  Additional Support.

    This Agreement does not include any technical or other support,
    maintenance services, or training.  IU-ARTI will have no
    obligation under this Agreement to correct any bugs, defects or
    errors in the Software or to otherwise support or maintain the
    Software.

5.  Non-Use of Names.

    Licensee agrees that it will not use the name, logo, or any other
    symbol or names of IU-ARTI, or Indiana University, or the names of
    any of their employees nor any adaptation thereof in advertising
    or publicity pertaining to the Software without specific prior
    written approval of IU-ARTI.

6.  Disclaimer of Warranties.

    IU-ARTI MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE
    SUITABILITY OF THE SOFTWARE FOR ANY PURPOSE.  THE SOFTWARE IS
    PROVIDED "AS IS".  IU-ARTI SPECIFICALLY DISCLAIMS ALL EXPRESS OR
    IMPLIED WARRANTIES INCLUDING BUT NOT LIMITED TO THE IMPLIED
    WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
    LATENT DEFECTS, OR INFRINGEMENT OF ANY INTELLECTUAL PROPERTY
    RIGHTS.

7.  LIMITATION OF LIABILITY.

    IU-ARTI, INDIANA UNIVERSITY, THEIR TRUSTEES, OFFICERS, DIRECTORS,
    EMPLOYEES, AND AGENTS, SHALL NOT BE LIABLE FOR ANY DAMAGES
    SUFFERED BY LICENSEE FROM THE USE OF THE SOFTWARE.  IN NO EVENT
    SHALL IU-ARTI BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF USE,
    INTERRUPTION OF BUSINESS, OR INDIRECT, SPECIAL INCIDENTAL, OR
    CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THE DESIGN,
    PERFORMANCE OR USE OF THE SOFTWARE. IU-ARTI SHALL NOT HAVE ANY
    OBLIGATION OR LIABILITY TO DEFEND OR INDEMNIFY LICENSEE FOR
    INFRINGEMENT BY THE SOFTWARE OF ANY INTELLECTUAL PROPERTY RIGHTS.

8.  Export Controls.

    It is understood that IU-ARTI is subject to United States laws and
    regulations controlling the export of technical data, computer
    software, laboratory prototypes, and other commodities that may
    require a license from the applicable agency of the United States
    Government and/or may require written assurances by Licensee that
    Licensee will not export data or commodities to certain foreign
    countries without prior approval of such agency.  IU-ARTI neither
    represents that such a license will not be required nor that, if
    required, it will be issued.

9.  License Termination.

    (a) Termination by Licensee.  Licensee may terminate the license
        granted by this Agreement by providing written notice to
        IU-ARTI stating the effective date of the termination.

    (b) Termination by IU-ARTI.  IU-ARTI may terminate the license
        granted by this Agreement without cause by providing ninety
        (90) days' written notice to Licensee.  IU-ARTI may notify the
        Licensee of pending termination of the License in the event of
        breach of any provision of the License by the Licensee;
        IU-ARTI shall explain the reason for the termination and
        provide the Licensee fifteen (15) business days from the
        mailing of the notice to adequately cure the breach. If the
        breach is not cured, then this Agreement shall terminate at
        the end of the fifteen (15) day cure period.

    (c) Termination in event of legal action.  In the event of any
        claim, lawsuit or related action brought against either party
        alleging that the Software infringes a United States patent or
        copyright or other intellectual property right of a third
        party, Licensee, upon IU-ARTI's request, will immediately
        cease using the Software.

    (d) Return of Software.  Upon termination of the license granted
        by this Agreement, Licensee agrees to delete or destroy the
        Software and all associated documentation, including any
        copies of the Software on data storage media and originals and
        reproductions of any written materials.

10. Ownership of Software.

    Licensee agrees that IU-ARTI owns all rights, title and interest,
    including but not limited to copyright, patent, trade secret, and
    all other intellectual property rights, in the Software and any
    changes, modifications or corrections to the Software including
    those made by the Licensee.  If Licensee is ever held or deemed to
    be the owner of any copyright, patent, or other intellectual
    property rights in the Software or any changes, modifications or
    corrections to the Software, then Licensee hereby irrevocably
    assigns to IU-ARTI all such rights, title and interest and agrees
    to execute all documents necessary to implement and confirm the
    letter and intent of this Section.

11. Licensee Changes and Reporting.

    Significant changes to the operation, appearance, and behavior of
    the Software by the Licensee for the purposes of improving
    usability and/or esthetics, or to resolve software problems
    ("bugs") must be reported to the Licensor within thirty days of
    the changes becoming effective within the Licensee's organization.
    Per  10 of this Agreement, the Licensor retains the right to
    subsequently apply these changes to the Software for
    use/redistribution.

12. Confidentiality and Non-Disclosure.

    Licensee specifically acknowledges and agrees that the Software
    may include confidential information that is a trade secret of
    IU-ARTI and that any publication or disclosure to third parties
    may cause immediate and irreparable harm to IU-ARTI.  Licensee
    will take all reasonable steps to keep the software secure from
    disclosure to third parties and to maintain the confidentiality of
    the Software.  Licensee will not disclose, provide, or otherwise
    make available any of the Software in any form to any person
    without IU-ARTI's prior written consent, except to employees of
    Licensee to whom such disclosure is necessary for purposes
    specifically related to Licensee use of the Software under the
    terms of this Agreement.

13. No Assignment.

    Licensee may not assign or otherwise transfer in any way any of
    the rights and obligations arising out of this Agreement without
    the prior written consent of IU-ARTI.

14. Notices.

    Any administrative notice or other communication required or
    permitted in this Agreement will be in writing and will be deemed
    to have been duly given three (3) days after mailing by first
    class certified mail, postage prepaid, to the following addresses:

    To ARTI: Director, Advanced Research & Technology Institute,
    Office of Technology Transfer, 1100 Waterway Boulevard, Suite 100,
    Indianapolis, IN 46202-2156 USA, with CC: to the contact specified
    in  4 of this Agreement.

    To Licensee: LICENSEE

    Notices or communications of a technical nature should be directed
    to the contact specified in  4 of this Agreement.

15. Amendments.

    No amendment or modification of any provision of this Agreement
    will be effective unless the same will be in writing and signed by
    both parties.

16. Severability.

    If any provisions of this agreement shall be prohibited or
    unenforceable by any applicable law, the provisions shall be
    ineffective only to the extent and for the duration of the
    prohibition of unenforceability, without invalidating any of the
    remaining provisions.

17. Applicable Law.

    The laws of the State of Indiana will govern this Agreement.  The
    parties agree that none of them will commence any legal or
    equitable proceeding against the other arising out of this
    agreement or its termination, except in, and each hereby submits
    to the jurisdiction of, either the Indiana State Courts or any
    United States District Court sitting in Indiana ("the Courts").
    Each party irrevocably waives, to the fullest extent permitted by
    law, any and all objections which it may now or hereafter have to
    the venue of any such proceeding brought in such Court, as well
    as, any claim that any such proceeding brought in such Court has
    been brought in an inconvenient forum.  Furthermore, each party
    hereby expressly agrees and acknowledges that (a) this section is
    reasonable and (b) an authorized officer has (1) read this
    section, (2) consulted with competent counsel concerning the
    meaning and effect of this section, and (3) in no way has been
    coerced or in any way forced to agree to the provisions of this
    section.

             EXHIBIT A -- TO SOFTWARE LICENSE AGREEMENT

Definitions

1.  The "Software".

    The term "Software" means the Interactive Animated Traffic
    Analysis (INANNA) software and documentation, as described below.
    Some of the features described below are not found in Version 0 of
    the INANNA software.  Such features will be found in the Version 1
    release of the INANNA software.

    INANNA was designed and developed by Mark Meiss and other staff
    within the Telecommunications Division, University Information
    Technology Services department at Indiana University.  It is
    comprised of several CGI scripts and a Perl/Tk program to
    manipulate the map and define the monitoring variables.  It is
    designed as a visual interface to traffic flow statistics
    collected by an external collector script that is provided by the
    user.  Viewers of the web pages will be able to easily discern the
    status of each defined network link, including error statistics.

    The format of all maps produced by the Animated Traffic Map system
    is basically the same.  Colored arrows connect a number of
    networks, clouds, or nodes. The color of each arrow is a function
    of the percent utilization on the link.  If you click on a link,
    you will be taken to the MRTG traffic statistics for that link.
    Each link also shows network errors in the form of a black bar
    that grows from the base of the arrow to its tip.

    The color scale for the arrows is user-defined at map creation.
    There are also several pre-configured color scales supplied with
    the software.  Error statistics are shown in the form of a black
    bar on the colored arrow that grows from the originating point of
    the error towards the source.  A link that is completely down will
    be shown as a black link on the map.

    Data collection for the traffic statistics can be accomplished any
    way the user desires.  The program is designed to take several
    values from whatever source the user wishes to use. The format is
    similar to the Multi Router Traffic Grabber (MRTG) log file
    format.  Naturally, MRTG, a separate program designed and
    maintained by Tobias Oetiker and Dave Rand, would be an ideal data
    collector.

    Once the user has created and configured the data collection, they
    must define the parameters for the actual animated traffic
    map.  This is accomplished via a series of user-defined variable
    settings found in Perl INI files.  Links between various pieces of
    the network are defined by finding the coordinates of the
    beginning and the end of the connection line.  Each line has an
    associated image map area that can direct the user towards
    different web pages when clicked.  This is meant to take the user
    to more detailed traffic statistics (such as the MRTG graphs), but
    can be used to send them anywhere.

    The Perl INI files can be manipulated directly or via a Perl/Tk
    program designed to expedite the creation process. This program,
    supplied with INANNA, is graphical, rather than text-based, in
    nature. It is designed to, given a network map, overlay the
    appropriate links and INANNA elements without havin to worry about
    defining text-based values.  In addition to the links and network
    clouds, an INANNA map contains a clock, showing the current time,
    a legend displaying the traffic values, and a summary of the
    traffic statistics in text form. These are all adjustable
    parameters through the INANNA configuration file.

    At the bottom of each page is a link to the documentation for the
    INANNA software, as well as a link to create a movie based on the
    collected traffic statistics.  The latter is a series of CGI
    scripts that enable a users to view a history of network traffic
    based on archived GIFs of the traffic map.  Each traffic map
    exists as a Graphics Interchange Format (GIF) file. The various
    components are added to the page through the GD Perl library.  It
    is updated by a Perl script, "template", that is to be run as a
    cron job at the defined update interval.  The template script
    reads the information in the INANNA configuration file for the map
    and creates the current traffic snapshot as a GIF file.

2.  Distribution.

    The INANNA distribution includes the following components (at the
    time of initial release):
